Terms of Service

1. Parties, Definitions, and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between HF8 ("HF8", "we", "us", or "our"), a private limited company incorporated in Hong Kong, and you ("User", "Client", or "you"), the individual or legal entity accessing hf8.ch or using any of our Services.

By accessing hf8.ch, clicking to accept, or using any Service, you represent that: (a) you are at least 18 years of age or the age of legal majority in your jurisdiction; (b) if acting on behalf of a legal entity, you have authority to bind that entity to these Terms; and (c) you have read and agree to be bound by these Terms in their entirety.

If you do not meet these conditions or do not agree to these Terms, you must immediately cease all use of our Services.

"Services" means, collectively, the hf8.ch website, AI Marketing, AI Agents, AI Research and Development, the HF4 LLM and its variants, and any other products or services offered by HF8 from time to time.

2. Our Services

HF8 provides the following AI-focused services:

• AI Marketing — AI-driven strategy, campaign execution, and performance optimisation.
• AI Agents — Autonomous and semi-autonomous AI agents for business process automation.
• AI Research and Development — Custom AI model development, evaluation, and integration.
• HF4 LLM — A proprietary family of large language models developed by HF8 for business use cases.

The descriptions above are for general reference only. The specific scope, deliverables, timelines, pricing, and acceptance criteria for any engagement are governed exclusively by a separate written service agreement or statement of work signed by both parties. In the event of any conflict between these Terms and a signed agreement, the signed agreement shall prevail.

3. AI Tools and Outputs

3.1 Informational Purpose Only

All AI-generated content, responses, recommendations, and outputs produced through our Services ("AI Outputs") are provided for informational and productivity purposes only. AI Outputs do not constitute and shall not be construed as legal, financial, tax, investment, regulatory, medical, or any other form of professional advice.

HF8 strongly recommends that AI Outputs be reviewed by a qualified professional before being relied upon for any consequential decision. You assume full responsibility and liability for any action taken or omitted in reliance on AI Outputs.

3.2 No Warranty on AI Outputs

AI Outputs are generated by probabilistic language models and may contain errors, hallucinations, omissions, or outdated information. HF8 makes no representation or warranty, express or implied, as to the accuracy, completeness, reliability, fitness for a particular purpose, or legality of any AI Output.

3.3 Acceptable Use Policy

You agree not to use our Services or AI tools to:

• Generate, distribute, or facilitate content that is unlawful, defamatory, fraudulent, obscene, harassing, or otherwise harmful to any person or entity.
• Infringe the intellectual property, privacy, or other rights of any third party.
• Attempt to probe, scan, reverse-engineer, decompile, or extract the source code, weights, architecture, or training data of any HF8 AI model.
• Circumvent, disable, or interfere with any access controls, security features, rate limits, or usage policies.
• Use AI Outputs to train, fine-tune, or improve any competing AI model or product without express written consent from HF8.
• Violate any applicable law or regulation in your jurisdiction or the jurisdiction of any recipient of the AI Outputs.

Breach of this Acceptable Use Policy entitles HF8 to immediately suspend or terminate your access to the Services without notice and without liability to you.

4. HF4 LLM

4.1 Product Description

HF4 is a proprietary family of large language models developed, trained, and maintained by HF8. It is offered in multiple performance tiers — HF4 Lite, HF4, and HF4 Pro — designed for business use cases including but not limited to legal document drafting, marketing copywriting, business documentation, and enterprise productivity.

4.2 Licence Grant

Subject to these Terms and any applicable service agreement, HF8 grants you a limited, non-exclusive, non-transferable, revocable licence to access and use HF4 solely for your internal business purposes or as expressly authorised in a signed agreement. All rights not expressly granted are reserved by HF8.

4.3 Restrictions

You may not, without HF8's express prior written authorisation:

• Sublicense, resell, rent, lease, or otherwise transfer access to HF4 to any third party.
• Use HF4 to build, train, or improve a competing language model or AI product.
• Remove, alter, or obscure any proprietary notices, branding, or attribution associated with HF4.
• Use HF4 in any application that involves critical safety systems, medical diagnosis, legal proceedings, or financial trading without appropriate human oversight and independent professional review.

4.4 Model Limitations and User Responsibility

HF4 is a general-purpose business language model. It does not have access to real-time information unless expressly stated, and its outputs may reflect the limitations, biases, or knowledge boundaries of the underlying training data. HF8 accepts no liability for decisions made solely on the basis of HF4-generated content, including in legal, financial, medical, or regulated contexts.

4.5 Availability and Modifications

HF8 reserves the right to modify, update, deprecate, or discontinue HF4 or any of its variants at any time. For paid subscribers, HF8 will use reasonable efforts to provide at least 30 days' prior written notice of any material change that would materially reduce the functionality of the subscribed tier. Service interruptions for maintenance, security, or technical reasons may occur without notice.

5. Intellectual Property

5.1 HF8 Ownership

All rights, title, and interest in and to the Services, including the hf8.ch website, all content, software, AI models (including HF4 and its variants), branding, trade marks, logos, and documentation, are and shall remain the exclusive property of HF8 or its licensors. These Terms do not transfer any ownership rights to you.

5.2 User Content

You retain ownership of any content, data, or materials you submit to our Services ("User Content"). By submitting User Content, you grant HF8 a limited, non-exclusive, royalty-free licence to process and use that content solely to the extent necessary to provide the Services to you.

5.3 Feedback

If you provide HF8 with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you assign to HF8 all rights in that Feedback and agree that HF8 may use it without restriction or compensation to you.

5.4 Reservation of Rights

Any use of our intellectual property not expressly authorised by these Terms is strictly prohibited. HF8 reserves all rights not expressly granted herein.

6. Data Protection and Privacy

6.1 Data We Collect

We collect personal data that you voluntarily provide when using our Services, including via contact forms or email correspondence. This may include your name, email address, company name, job title, and the content of your communications with us. We may also collect technical data such as IP address, browser type, and usage data through standard web server logs.

6.2 Purpose and Legal Basis

We process your personal data for the following purposes: (a) responding to your enquiries and providing our Services (contractual necessity or legitimate interest); (b) fulfilling our legal and regulatory obligations; and (c) sending service-related communications where you have provided consent or where we have a legitimate interest to do so.

We do not sell, rent, or share your personal data with third parties for their independent marketing purposes.

6.3 International Data Transfers

As HF8 serves clients across the European Union, Gulf Cooperation Council, and Asia-Pacific regions, personal data may be transferred to and processed in Hong Kong or other jurisdictions outside your country of residence. Where required by applicable law, we implement appropriate transfer safeguards, including standard contractual clauses approved by the European Commission for transfers from the EU.

6.4 GDPR Rights

If you are located in the European Economic Area, you have the following rights under the General Data Protection Regulation: the right to access your personal data; the right to rectification of inaccurate data; the right to erasure ("right to be forgotten") where grounds apply; the right to restriction of processing; the right to data portability; and the right to object to processing based on legitimate interests.

To exercise any of these rights, please submit a written request via the contact form on hf8.ch. We will respond within 30 calendar days. If you are dissatisfied with our response, you have the right to lodge a complaint with your local supervisory authority.

6.5 Data Retention

We retain personal data only for as long as necessary to fulfil the purposes for which it was collected, to comply with our legal obligations, resolve disputes, and enforce our agreements. Contact form data is typically retained for no longer than 24 months from the date of last interaction, unless a longer retention period is required by law or contract.

6.6 AI Input Data

Inputs submitted to HF4 or any other HF8 AI tool are processed solely to generate the requested outputs and to maintain service quality. We do not use your inputs to retrain, fine-tune, or improve our AI models without your explicit prior written consent. Inputs are processed in accordance with our data retention policy and are not shared with third parties except as necessary to provide the Services.

6.7 Cookies

hf8.ch may use essential cookies necessary for the operation of the website. Any use of non-essential cookies (e.g. analytics or marketing cookies) will be subject to your prior consent in accordance with applicable law. You may manage cookie preferences through your browser settings.

7. Disclaimers, Indemnification, and Limitation of Liability

7.1 Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, HF8 expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. HF8 does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

7.2 Indemnification

You agree to defend, indemnify, and hold harmless HF8 and its officers, directors, employees, contractors, licensors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of or access to the Services; (b) your breach of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any User Content you submit to the Services.

7.3 Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall HF8 be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, however caused and regardless of the theory of liability, even if HF8 has been advised of the possibility of such damages.

HF8's total aggregate liability to you for all claims arising out of or related to these Terms or the Services, whether in contract, tort, statute, or otherwise, shall not exceed the greater of: (a) the total fees paid by you to HF8 in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) HKD 5,000.

The limitations in this Section 7.3 shall apply even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, HF8's liability shall be limited to the maximum extent permitted by law.

7.4 Force Majeure

HF8 shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, governmental action, internet or telecommunications failures, cyberattacks, pandemics, or any other event of force majeure.

8. Governing Law and Dispute Resolution

8.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

8.2 Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter through good-faith negotiation within 30 days of written notice by one party to the other.

If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force at the time of the commencement of the arbitration. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English. The number of arbitrators shall be one.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

8.3 Consumer Rights

For users who qualify as consumers under applicable mandatory law in their jurisdiction (including EU consumer protection legislation), nothing in these Terms limits or excludes any rights you may have under such mandatory law.

9. Term and Termination

These Terms commence on the date you first access or use the Services and continue until terminated. HF8 may suspend or terminate your access to the Services at any time, with or without cause, effective immediately upon notice (or without notice in cases of breach of Section 3.3).

You may cease using the Services at any time. Termination of access does not relieve you of any obligations accrued prior to termination. Sections 5, 6, 7, 8, and 10 of these Terms shall survive any termination or expiry.

10. Amendments to These Terms

HF8 reserves the right to amend these Terms at any time. For material changes, we will provide at least 14 days' prior notice by posting the updated Terms on hf8.ch and updating the effective date. For non-material changes, the updated Terms take effect immediately upon posting.

Your continued use of the Services after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to an amendment, you must cease using the Services before the amendment takes effect.

11. General Provisions

11.1 Entire Agreement

These Terms, together with any applicable service agreement, privacy policy, or other agreements incorporated by reference, constitute the entire agreement between you and HF8 with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, and agreements, whether oral or written.

11.2 Severability

If any provision of these Terms is found by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

11.3 No Waiver

HF8's failure to enforce any provision of these Terms on any occasion shall not constitute a waiver of that provision or of HF8's right to enforce it on any future occasion.

11.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without HF8's prior written consent. HF8 may assign these Terms or any rights hereunder without restriction.

11.5 No Third-Party Beneficiaries

These Terms do not confer any rights or remedies upon any third party.

12. Open Source Notices

HF4 and certain other AI components within our Services are built in part upon open-source foundation models. In compliance with the MIT License under which those models are distributed, we include the following notice.

Permission is hereby granted, free of charge, to any person obtaining a copy of this software and associated documentation files, to deal in the Software without restriction, including without limitation the rights to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Software, and to permit persons to whom the Software is furnished to do so, subject to the condition that the above copyright notice and this permission notice be included in all copies or substantial portions of the Software. The software is provided as is, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose and noninfringement. In no event shall the authors or copyright holders be liable for any claim, damages or other liability, whether in an action of contract, tort or otherwise, arising from, out of or in connection with the software or the use or other dealings in the software.
